Terms of Use.

By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. Eligibility and account registration

To access certain features of the Platform — including creating an organization workspace and purchasing paid services — you must create a user account, either directly or by accepting an invitation from an organization already using PrimusBids. You agree to provide accurate, current, and complete information, and to keep it up to date. You are responsible for maintaining the confidentiality of your account and for all activity under it, and must notify us immediately at hello@primusbids.com of any unauthorized use.

Delivery of tender-writing work: All tender-writing and related deliverables provided through the Platform are delivered exclusively by Acme Hub Ltd's own staff, invited and managed by the Ultimate admin. We do not onboard, verify, or route work to external individuals, freelancers, or rival technical-writing companies, and no such third party may hold themselves out as delivering work through the Platform.

2. Services and platform use

PrimusBids provides tender and bid-writing tooling — opportunity tracking, requirement drafting, an answer library, AI-assisted tender analysis, delivery-project tracking, and health & social care regulatory and compliance tooling. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your organization's business purposes. Every deliverable is reviewed through our internal Quality Assurance and Reliability process before it is handed over to your organization.

3. Fees and payments

Pricing: Access to paid services, including the tender-readiness audit and health & social care service bundles, is subject to the fees shown on the Platform at the time of purchase. We reserve the right to change pricing or billing terms at any time; changes do not apply retroactively to services already paid for.

Payment processing: Payments are processed by our third-party payment processor, Flutterwave. By submitting payment details, you authorize us and Flutterwave to charge the applicable fees to your chosen payment method. We do not store your card number, expiry date or CVV — these are encrypted on submission and sent directly to Flutterwave for processing.

Refunds: Except as otherwise stated on the Platform or required by applicable law, fees paid for audits, quotes and other paid services are non-refundable once the service has begun.

4. Content, conduct, and platform integrity

You are responsible for the content you submit to the Platform — tender descriptions, requirement responses, messages, compliance documents and uploaded files — and you confirm you have the right to submit it. You agree not to use the Platform to submit unlawful, infringing, or fraudulent content, to misrepresent your organization or credentials, or to attempt to access another organization's workspace or data without authorization. We may suspend or terminate access for conduct that violates this section.

5. Intellectual property

Platform content: The Platform's software, design, templates, and system-generated content (such as AI tender analyses and answer-library scaffolding we provide) are the intellectual property of the Company or its licensors.

Your content: You and your organization retain ownership of the tender content, responses, and documents you create or upload. You grant us a limited license to store, process, and display that content as needed to operate the Platform on your behalf.

6. Disclaimers and limitation of liability

As-is basis: The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.

No outcome guarantee: PrimusBids helps you organize evidence and produce stronger bid and compliance content, but we do not warrant or guarantee that any tender will be won, any application will be approved, or any specific regulatory or commercial outcome will result. Final regulated, immigration, or legal decisions remain the responsibility of an appropriately qualified person.

Availability: We aim to keep the Platform accessible but do not guarantee uninterrupted or error-free operation, and are not liable for disruptions caused by internet outages, cloud infrastructure failures, or third-party service issues (including our database, email, and payment providers).

To the maximum extent permitted by law, the Company's aggregate liability arising from your use of the Platform is limited to the fees you paid us in the twelve months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and agents from claims, liabilities, damages, and expenses (including legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of a third party's rights.

8. Termination

We may restrict, suspend, or terminate your account and access to the Platform at any time, with or without notice, for a breach of these Terms or conduct that harms other users or our operations.

9. Governing law and dispute resolution

These Terms are governed by the laws of [Governing Jurisdiction]. Disputes arising from these Terms will first be attempted to be resolved amicably; if unresolved, they will be referred to the courts of [Court Jurisdiction].

10. Changes to these Terms

We may update these Terms to reflect changes to the Platform, pricing, or applicable law. When changes are material, we will provide notice via the Platform or by email before they take effect. Continued use of the Platform after changes take effect means you accept the updated Terms.
